TITLE I. GENERAL STATEMENTS


Artículo 1. Object

  1. The object of these regulations is to regulate the rights and ruties fo the partners of “Cycling Fan Manager”.
  2. It is not part of the present Regulations, the regulation of the rights and obligations of the entities and companies, public or private, wishing to collaborate financially with the project “Cycling Fan Manager”, or with the aims of the Entity, which will be governed by its specific regime, through the stablishement of different forms of cooperation.

Article 2. Scope of application

  1. The present Regulations shall apply to all the “social Cycling Fan Manager” partners, regardless of their nationality and  place of residence. 
  2. The condition of “Social Cycling Fan Manager” member implies the total aquiescence with the content of the present Regulations, which must be accepted explicitly by all applicants, and the total respect of the principles of equality and non-discrimination based on race, sex, religion or ideology.   


Article 3. Definitions

For the purposes of the presents Regulations, it shall be understood:

Fee: Amount paid annually by the partners of “Social Cycling Fan Manager” with the objetive of contributing to the support of the project, and to be entitled to the privileges provided in this

Regulation. Entry Fee: Amount paid by the applicants in order to acquire the status of Member of “Social Cycling Fan Manager”. This fee will be established after the team has been created. Not before.

Entity: Non-profit corporate entity that will have the objective of creating a Cycling Team, notwithstanding other sportive and social activities related to cycling and the bicycle. The action of the Entity will be based, in any case, on the following principles: commitment, ethics, solidarity, self-improvement ability, and hard work.  

Cycling Team: Professional sportive structure created with the aim of taking part in cycling events organized or supervised by the International Cycling Union, after obtaining the necessary licenses by that organization    

“Social Cycling Fan Manager” Project: non-profit action, under the tutelage of the Entity, with the objective of creating and mantaining a professional cycling team, with the challenge of taking part in the major races of the international calendar organized and/or supervised by the UCI.

“Social Cycling Fan Manager” partners will be in charge of managing the cycling team, according to this Regulation.  

Solidarity Action: action or set of humanitarian actions carried on within the framework of “Cycling Fan Manager”, in order to try to improve and widen the opportunities and capacities of less fortunate people.

“Social Cycling Fan Manager” Partner: person, who, meeting the requirements established in this Regulation, takes part in the project “Cycling Fan Manager”, being holder of the corresponding rights and duties. The Partner in this case will be called Fan Manager.  

Applicant: Natural person who intends to become a Partner of “Cyclinf Fan Manager”, and who formalizes the corresponding application through the website www.ciclismofanmanager.com in the section Partners – Registration.

TITLE II. MEMBERS OF “SOCIAL CYCLING FAN MANAGER”

Article 4. General issues

  1. Are Partners of “Cycling Fan Manager” or Fan Managers the natural persons who, having voluntarily applied for it, and after meeting the requirements established in this Regulation, participate in the project “Cycling Fan Manger”. 
  2. People wishing to become “Cycling Fan Manager” Partners must be of legal age. Notwithstanding the foregoing, minors may also be Partners of “Cycling Fan Manager” with the consent of their parents or guardians.   
  3. The status of Partner is personal and non transferable, and must be renewed annually, following the provisions established in this Regulation, as well as the rules and instructions issued by the Entity. In any case, the conditions of renewal shall be announced to the Partners sufficiently in advance, either personally or through the website www.ciclismofanmanager.com.

Article 5. Categories of the Members of “Cycling Fan Manager”

  1. “Social Cycling Fan Manager” Partners can be divided into two categories: Number Partner or S-1/Fan Manager 1 (FMG 1) Patron Partner or S-2/Fan Manager 2 (FMG 2) 
  2. In any case, all the Partners of “Social Cycling Fan Manager” must meet the obligations and shall have the rights provided in articles 7,8 and 25 of the present Regulation. Therefore, between both categories of Partners will not exist any difference apart from those pointed out in the articles 16 to 23 of this Regulation related to the extent of participation of each category in the Project “Cycling Fan Manager”.

Article 6. Requirements for acquiring the membership status

  1. The natural person wishing to become a Partner of “Cycling Fan Manager” must apply through the website www.ciclismofanmanager.com 
  2. In the corresponding application must be made expressly clear the acceptance of the present Regulation, as well as as the rest of the rules and instructions passed by the Entity, where appropriate, in development of it. 
  3. Likewise, the application must contain, according to the instructions from the website, the following information:     
  4. General Identifying information: Name and Surname Age Nationality National identification number Address   Email address for the purpose of notifications Where necessary, copy of the proof of payment of the corresponding Fee. Bank Account number in a financial institution for the returning of the Entry fee on the assumption in accordance with article 13 of the present Regulation and, where appropriate, if this is the way of payment choosen for the annual charging of the fees. To the 20-digit bank account will be added the data corresponding to the IBAN and BIC or Swift Code.   
  5. Within five (5) calendar days, the applicants will receibe through email the confirmation of the acceptance of their application, or, where necessary, the steps to follow in order to correct the application. In case of minors, they must also provide the consent from their father, mother or guardian.

Article 7. Rights of the Partners

  1. The Partners will enjoy the rights resulting from the present Regulation. 
  2. Will be rights of the Partners, in any case, the following: 
  • Take part in the activities and draws organized by the Entity. 
  • Being informed of the activities related to the project “Social Cycling Fan Manager".
  • Freely express their opinion through the ways of communication established in this Regulation, and the ones determined in each case. 
  • Access to the documents of the Entity, in the terms determined in its Regulation.
  • Contributing to the aims of the project “Social Cycling Fan Manager”
  • Freely leave the status of “Social Cycling Fan Manager” Partner.

3. In addition, Partners will enjoy the rights derived from the rules, instructions and directives that could be elaborated by the Entity.

Article 8. Duties of the Partners.

1. Are duties of all “Cycling Fan Manager” Partners the following:

  • Obeying the present Regulation, its possible adaptations and developments, and the rest of the rules and agreements passed by the Entity.
  • Informing the Entity about any infringement of this Regulations or about any misconduct observed, that might affect the interests of the Partners of “Cycling Fan Manager” or to the image of the Entity.
  • Acting with absolute respect to the rest of the Partners of “Cycling Fan Manager”
  • Contributing to achieve the objectives of the project “Cycling Fan Manager”
  • Paying the corresponding annual fees, in the due form and amount established by the Entity.
2. In general, the relations of the Partners of “Cycling Fan Manager” with the Entity must be guided by good faith and the intention of achieving the goal of creating and mantaining a Cycling Team, as well as developing humanitarian actions, so partners will respect and protect in their performance that common purpose.

Article 9. Loss of the partnership (Fan Manager)

1. The status of Partner of “Cycling Fan Manager” is lost:Of their own free will, expresed in writing (letter or e-mail), to the addresses indicated in the websiteBy deathFor non-paying the fees established in the right time indicates in the article 14 of the present Regulation, after warning by the Entity, and without prejudice to the right of it to claim the owed sums.By expulsion of the person concerned, based serious misdemeanor, after starting the corresponding expulsion proceedings. 

2. For the purposes of the present Regulations, will be considered serious misdemeanor the non-fulfilment of the obligations contained in this Regulation, and in the rest of the rules passed by the Entity, in particular:

  • To carry out actions against the Project “Cycling Fan Manager”
  • Being disrespectful and/or offending the rest of the Partners of “Cycling Fan Manager”
  • To behave inappropriately on the occasion of events celebrated in development of the Project “Cycling Fan Manager”.
  • The falsity in any data provided in the application to become a Partner, or where appropriate, in the update of that data.
  • Any other action or spoken or written statement likely to undermine the respect and dignity or public image of the Project “Cycling Fan Manager”, the Entity or the people who integrates and/or represents it.
3. The behaviors mentioned in the previous paragraph will be sanctioned with the permanent loss of the status of Partner, and will also include the loss of all the rights and amounts paid to date. Besides the possible civil, criminal or administrative actions that may be appropriate.  

The Entity will be responsible, after hearing the people concerned, of arranging the corresponding proceedings, see and qualify the conducts deserving a sanction, and, when necessary, decide the expulsion of that Partner.  

4. In any case, the Partners will be entitled to the presumption of innocence, to be notified of the actions attributed, of the infringements those actions may constitute, of the sanctions that could be imposed, of the responsible body to impose them, as well as a fair and contradictory procedure.  

They have also the right not to declare in proceedings against them, to make allegations and to offer all the means of evidence they consider appropriate.   It will be created within the Entity a Internal Organization Committee, as the responsible body for solving the corresponding sanctioning procedures.  

5. If a Partner had lost their status for not-payment of fees, it will be essential to fully pay unpaid fees before applying for readmission.

Article 10. Partner support

  1. The Entity will ensure all the Partners of “Cycling Fan Manager” have a fair an equal treatment, and will make sure they obtain quick and complete answers to all the concerns and requests they submit. 
  2. Through the website, initiatives, complaints and claims of the Partners of “Cycling Fan Manager” will be responded, trying to guarantee in any case the correct exercise of the rights contemplated in this Regulation.
  3. The Partner Support will solve all the queries raised, except those related to matters and informations whose disclosure is forbidden by any legal, statutory or contractual confidentiality restriction.

Article 11. Book of Partners

  1. The Book of Partners consists of a computerized register where the Partners of “Cycling Fan Manager” will be registered in odder of admission, writing down their personal data, address, kind of Partner, bank account number, as well as the successive changes in the mentioned information. 
  2. In any case, the privacy of the information will be guaranteed, respecting the provisions of Ley Orgánica 15/1999, 13 December, de Protección de Datos de Carácter Personal (“LOPD”) and its development regulations, as well as the rest of the rules replacing, updating or complementing it. 
  3. Just for the fact of applying for partnership, applicants authorize the inclusion of their personal information in the abovementioned register, so that they can be used by the Entity. 
  4. According to the current legislation, the assignor of the personal information may, at any time, exercise the right to access, amendment, cancellation and opposition, in the terms expressly stated in the website.

TITLE III. FEES

Article 12. The fees

  1. The fees to be paid by the Partners will be established by the Entity depending on the category of Partner.
  2. Once acquired the status of Partner of “Cycling Fan Manager”, the amounts paid as fees won’t be susceptible of any refund, including all cases of loss of partnership mentioned in article 9 of the present Regulation. Notwithstanding the foregoing, this rule is not applied in relation with the Entry Fee, in the case referred to in article 13.3 of the present Regulation. 
  3. The payment of the fees will be made by standing order, bank transer of credit card, through the website.

Article 13. Entry fee

1. The entry of new Partners is subject to the payment of an Entry Fee, wich will be determined by the Entity.

2. Until the date when the creation of the Cycling Team is announced by the Entity, the Entry Fee the applicants have to pay will be:

  • Thirty Euros (30€) for the Partners of Number of S-1/FM1
  • Fifty-five Euros (55€) for the Patron Partners of S-2/FM2
As a reward for the loyalty and confidence in the Project “Cycling Fan Manager”, this Entry Fee will cover the Ordinary Fee corresponding to the first season of activity of the Cycling Team.

3. In the event that the Cycling Team is not created to take part in the 2013 season, the Entry Fee may be refunded, upon request of the Parter, during December 2012, except an amount equal to:
  • An amount assigned to the realization of the Solidarity Projects planned in article 28 of the present Regulation, which amounts to two Euros and fifty cents (2.50€) for humanitarian aid for S-1/FM1 Partners, and four Euros (4.00€) for S-2/FM2 Partners.
  • An amount (in finacial institutions management) equivalent to the bank charges for the refund operation, that will be considered as a contribution of the Partners to purchase tickets to take part in different draws celebrated by the Entity during 2012. In the website will be included the general mechanisms that will govern the draws, as well as its terms and conditions.
 
4. The refund of the Entry Fee in the case referred in the preceding section, will involve the loss of the Partnership. Nevertheless, in case the Entity and the Partners of “Cycling Fan Manager” voluntarily wish so, a new attempt will be made to create the Cycling Team in the 2014 season. In that event, the Partners may continue in the Entity, without need to make new contributions, proceeding, in any case, during December 2013 to the refund of the Entry Fee, in the terms mentioned in the preceding section.  

5. For new applicants wishing to join the Project “Cycling Fan Manager” once created the Cycling Team, the scope of the Entry Fee will exhaust with being a necessary requirement to acquire the Partnership, so the applicants must pay, in addition to the Entry Fee, the Ordinary Fee relating to the corresponding annuity fee.


6. The partners’ fees will be deposited in the account:

In any case, the developers of the “Cycling Fan Manager” Project will sign, in the presence of a notary, a commitment that, appart from the amounts assigned to carry out the actions described in section 3 of this article, they may not dispose of the money provided by Partnes through their Entry Fees, unless the Cycling Team is formed.  

That commitment will be available for the Partners in the website.   Once created the Entity, it will subrogate in the obligations assumed by the developers of the Project in that commitment of not disposing of the funds raised.

Article 14. Ordinary fees

1. The Ordinary Fees will be annually periodic, and will be established by the Entity following criteria of transparency and participation of Partners in the determination procedure to be established.

2. The first Ordinary Fee to be accrued will be:

  • Thirty Euros (30€) for Number Parners or S-1/FM1.
  • Fifty-five Euros (55€) for Patro Partners or S-2/FM2.
Of those fees, will be allocated to humanitarian aid two Euros fifty (2.50€) for S-1/FM1 Partners and four Euros (4.00€) for S-2/FM2 Partners, with the aim of carrying out the solidarity projects mentioned in article 28 of this Regulation.

3. The Partners who join the project before the official announcement of creating the Cycling Team will not pay the Ordinary fee corresponding to the first annuity, as indicated in article 13 of the present Regulation.

4. The Ordinary Fees will be updated during the month of December of the current year, for the effects of their immediate implementation for the following season.

Article 15. Payment of the ordinary fees

1. The payment of the Ordinary Fees must be made within a period stipulated and properly announced in the website. Once it expired, the Partner will lose their recognition of seniority and, if wishing to rejoin the “Social Cycling Fan Manager” Project will have to satisfy the Entry Fee, in addition to the Ordinary one. Passed that period without having made the corresponding payment, the Partner will lose that status, as well as the rights inherent in such condition, and if wishes to rejoin the “Cycling Fan Manager” Project will have to satisfy the Entry Fee, in addition to the Ordinary one.

2. Those applicants wishing to join the “Cycling Fan Manager” Project once created the Cycling Team, must pay the Ordinary Fee corresponding to the first annuity together with the Entry Fee. The new amount of the latter will be stipulated in due time.

TITLE IV. POWERS OF THE MEMBERS RELATED TO THE PROJECT “CYCLING FAN MANAGER”

Article 16. General framework of the powers of the Partners

1. As stated in article 24 of the present Regulations, the main purpose of the Entity is the creation of a Cycling Team that participates in cycling events organized or supervised by the International Cycling Union (UCI), after obtaining the necessary licences by that organization.

2. In case the Cycling Team is created, the powers of “Cycling Fan Manager” Partners will be the ones listed in the articles included in Title IV of the present Regulation, as well as those that, developing the mentioned articles, establishes the Entity.

3. In any case, the exercise of the Partner’s Powers will be based in democratic principles, according to the provisions of this Regulation, with no more differences than the expressly mentioned in relation to the two categories of “Cycling Fan Manager” Partners. For the purposes of the foregoing, each Partner will have an identification number and a password to the private part of the website to make the corresponding voting and proposals in signings.

Article 17. Powers in signings

  1. The Cycling Team’s coaching staff will decide the number of members of the roster, and will determine the criteria to make the signings.
  2. Once established the number of cyclists, all the signings of the team, without exception, must be previously proposed by one or more “Cycling Fan Manager” Partners.
  3. The coaching staff of the Cycling Team will sign a sixty per cent (60%) of the members of the roster, among the cyclists proposed, without taking into account the number of votes received. 
  4. Un cuarenta por ciento (40%) de los fichajes será decisión de los Socios, atendiendo a los nombres más votados, la disponibilidad económica y previo asesoramiento técnico sobre las necesidades del equipo. A los efectos de lo anterior, los Socios de Número o S-1 / FMG-1 podrán proponer a dos (2) ciclistas. Por su parte, los Socios Protectores o S-2 / FMG-2 podrán proponer a cuatro (4) ciclistas.
  5. These percentages will be mantained to establish the signings of the team in following seasons.
  6. The coaching staff will work with the resulting list, according to the clasification order and to economic criteria, so that a cyclist will not be signed if another one of the list, in a higher position, accepts the same economic conditions. This commitment will force to make a true exercise of “collective ingelligence”, because in it is based, to a certain extent, the competitiveness of the team. This is also one of the great challenges and attractions of the Project “Cycling Fan Manager”.

Article 18. Powers related to the corporate image of the Cycling Team

  1. The management of the Cycling Team will determine what elements must be included indispensably in the image of the Team and its basic colours, at the request of the sponsors. 
  2. From these assumptions, the contribution with designs by the Partners will be allowed. 
  3. The management of the Cycling Team will select the finalists, in the terms in each case provided.
  4. “Social Cycling Fan Manager” Partners will finally decide the winning design by voting among the ones selected by the team management. 5. There will be a prize for the author of the winning design.

Article 19. Powers related to the line-ups of the Cycling Team in big events

1. “Cycling Fan Manager” Partners will be able to decide at least two (2) riders for the grand tours from a shortlist of fourteen (14) previously made by the sporting directors.

  • In this kind of competitions teams must provide a list of fourteen (14) cyclists fourty-five (45) days before the start of the event, from which will come the nine (9) starters.
  • The sporting directors will decide a number of permantent riders and the Partners of “Cycling Fan Manager” will choose the rest (not less than 2) to complete the list of nine (9) from the initial list of fourteen (14).


Article 20. Powers related to the dismissals of the Cycling Team

  1. The Cycling Team will be obliged to provide the dismissals for the following season and to communicate them individually to each rider, before 31 September of the current year. 
  2. “Social Cycling Fan Manager” Partners may “pardon” one cyclist from that list, as long as the dismissal does not respond to innapropriate behaviour (disciplinary or ethical, contained in the internal rules regulation and in the UCI regulation) or to significant economic differences. In that case, the option of choosing the second in the list could be established.

Article 21. Powers related to the task of training and new talents

  1. The Partners of “Cycling Fan Manager” will participate in the work criteria with the new talents, according to programmes presented by coaches and the management of the project, depending on the availability of human and financial resources.
  2. The Partners of “Cycling Fan Manager” may include a list with worldwide new talents, which may arise in the surrounding areas of their places of residence.The cyclist submitted must be in an age range between 17 and 21 (met in the current season). This information could be increased over the following seasons in the case of the younger ones.In the list will be included, the following information:
  • Name of the cyclist
  • Place of birth
  • Education
  • Recent photo
  • Main qualities
  • Sporting career (list of achievements)
  • Hobbies outside cycling

Article 22. Powers related with the budget of the Cycling Team

1. “Cycling Fan Manager” Partners will receive, sufficiently in advance of the start of the season, the outlines of the budget of the Cycling Team, for evaluation and study.

2. The budget of the Cycling Team will be divided into different categories, and partners may submit amendments, that will be debated and voted, through the procedures indicated by the Entity.

3. In particular, Partners may make the objections they deem appropriate related to the following items:

  • Cyclists’ salaries
  • Staff’s salaries
  • Insurance and infraestructure
  • Travelling expenses
  • Fees
  • Promotion
4. Under no circumstances could be accepted remarks or objections in relation to the provision of expenses to meet legal or contractual obligations that would be compulsory or requirable by third parties to the Cycling Team.

Article 23. Rewards and incentives

1. The Entity will establish a system of rewards and incentives for Partners (Fan Managers) of “Cycling Fan Manager”.

2. The rewards and incentives that will be proposed by the Entity will be, including but not limited to, the following:

  • The establishment of awards for the Partners who have chosen the two (2) cyclists of the team that, at the end of the season, are in a highest position in the UCI Ranking.
  • The promotion of the interaction among Partners, with systems such as swapping accommodation during the competitions of the team in different areas and countries, etc.
  • The organization of promotions among Partners/FMG, such as:
    • Draws to cover, according to the amount collected, totally or partially the travel of Fan Managers to any race of the international calendar, with the total amount of withdrawing 1€ of the annual fee of each one.
    • Draw of a fixed number of bycicles of the team at the end of the season.
    • One of those bikes will be raffled exclusively among FMG2.
    • Draw of travels to go with the team in a race.
    • Study and implementation of benefits for Partners in sponsor commercial establishments and international chains associated.
3. In any case, through the website will be covered all the actions developed by the Entity in implementation of this article.

TITLE V. RELATIONS BETWEEN PARTNERS/MEMBERS AND THE ENTITY

Article 24. Characteristics of the Entity

1. The Entity will be constituted as a non-profit legal person, and will have the main aim of creating a professional cycling team within the “Cycling Fan Manager” project, without prejudice to the execution of other sporting and social activities related to cycling and bycicle. The action of the Entity will be based, in any case, on the following principles: commitment, ethics, solidarity, self-improvement and hard work.

2. The Entity will have full legal capacity, being able to make all those necessary acts to fulfill the objectives for which it was created, subject to the rules approved, and to the rest of the legislation.

3. The assets of the Entity will be, in long-term, subject to the execution of the objectives of the institution. Therefore, the Entity will devote the profits that could get to carry out activities of the same kind to those provided in its object.

4. The founding members of the Entity won’t have any compensation, except cases of special dedication expressly contemplated in the Rules governing the internal operation of the Entity. Notwithstanding the foregoing, may be compensated the expenses incurred in the performance of duties, in the terms contemplated in the current legislation, provided that such expenses are properly justified.

5. The Entity may hire employees and workers to carry out its purpose, as well as celebrate the corresponding services agreements, all that with respect to the current legislation. It will be a necessary condition that the staff (non-sportsmen) likely to be hired are registered as partners of the Entity before 1 July of the year of registration of the team in the International Cycling Union (UCI).

6. The Rules of the Entity will define the requirements and methods of admission of partners different from the founders, assuming the corresponding obligations towards the Entity. Likewise, they will recognize the figure of “Cycling Fan Manager” Partners, recording, among others, the peculiarities provided in article 25 as well as in the Transitorial Provision Three of this Regulation.

7. The Entity may carry out the activities included in its corporate purpose, totally or partially, indirectly, through the ownership of shares in other associations or societies, or through the creation of any other legal formula permitted by law.

Article 25. Participation of partners in the ordinary management of the Entity

  1. The status of “Social Cycling Fan Manager” Partner implies the exercise of the powers contemplated in articles 16 to 23 of the present Regulation, but not in any case the right to take part in the representing, governing, management and administration bodies of the Entity. For that reason, “Cycling Fan Manager” Partners will not have the right to vote in the mentioned bodies. 
  2. If anything, Partners may know the activities of the Entity and receive adequate information about their implementation, in the terms established in the operating rules of the Entity. 
  3. Particularly, the Entity assumes the obligation of informing the “Social Cycling Fan Manager” Partners about the elaboration of the financial statements of the Entity, the existing income statement, as well as the most relevant events related to the budget implementation, and of facilitating the consultation of the accounts of the Entity. 
  4. The suggestions and complaints of the Partners will be ordinarily processed through the mechanism contemplated in article 10 of the present Regulation. Notwithstanding the foregoing, the governing bodies of the Entity must analyse and resolve compulsory and expressly, following the appropriate solemnities and formalities, the suggestions made by at least the twenty per cent (20%) of “Social Cycling Fan Manager” Partners. Also, the governing bodies of the Entity may resolve expressly, in the terms indicated before, those applications that, without meeting the quantitative requirements mentioned, would be advisable to deal with for the smooth running of the Entity and of the “Social Cycling Fan Manager” Project. It is, also, a special part of the project’s philosophy to feed on initiatives provided by its fan managers (Partners). 
  5. Other mechanisms may be established to facilitate the participation of “Social Cycling Fan Manager” Partners with voice but not vote, in the relevant decisions that may make the Entity. So, by way of example, the Entity may stipulate the participation of the “Social Cycling Fan Manager” Partners in committees, standing or temporary, which may be entrusted to study and develop those matters considered appropriate. The Entity will determine, where appropriate, the composition and the internal operating rules of such committees.

TRANSITIONAL PROVISION ONE. Constitution of the Entity

  1. Before 31 December 2011, developers and contributors of “Cycling Fan Manager” will initiate the necessary procedures to carry out the constitution of the non-profit Entity planned in this Regulation. 
  2. In any case, that Entity must be effectively constituted before 31 March 2012.

TRANSITIONAL PROVISION TWO. Effectiveness of the mechanisms to carry out the recruitment of partners

The mechanisms to carry out the recruitment of Partners will be effective from the date of publication of the present Regulation in the website, although the Entity has not been constituted.

TRANSITIONAL PROVISION THREE

Creation of the Cycling Team. Once created the Cycling Team, “Cycling Fan Manager” Partners will formally be partners of the team.

FINAL PROVISION

The present Regulation, valid in its beginning, will be subject to Fan Managers criteria during a period of time and the resulting document will come into effect the day after the effective constitution of the Entity, without affecting to the mentioned in the Transitorial Provision Two regarding to the effectiveness of the mechanisms to carry out the recruitment of Partners.
